These Terms of Service (“Terms”) govern your access to and use of Bidora, a product operated by SignMail, Inc. (“we,” “our,” or “us”), including its website, web application, software, tools, AI-powered features, and related services (collectively, the “Service”).

By accessing or using the Service, you acknowledge that you have read, understood, and agreed to be bound by these Terms. If you do not agree, you must not access or use the Service.

1. Eligibility and Acceptance

You must be at least 18 years of age to use the Service. By using Bidora, you represent and warrant that you meet this requirement and have the legal capacity to enter into a binding agreement.

Access to the Service is provided on a subscription basis and may be limited, suspended, or terminated in accordance with these Terms.

2. Account Registration and Responsibilities

To access certain features, you must create an account and provide accurate, current, and complete information.

You are responsible for:

• Maintaining the confidentiality of your login credentials
• All activity occurring under your account
• Ensuring that your use of the Service complies with these Terms

Each account is licensed for use by one individual only. Account sharing, credential distribution, resale, or allowing multiple users to access a single account is strictly prohibited and can result in instant suspension of the account. 

3. Subscription Plans and Billing

Bidora offers paid subscription plans billed on a monthly basis.

By subscribing, you authorize Bidora and its payment processor to charge the applicable subscription fees on a recurring basis unless cancelled in accordance with these Terms.

All payments are processed through Stripe.

No Refund Policy

All fees paid to Bidora are non-refundable, including but not limited to fees for unused time, partial periods, failed usage, or dissatisfaction with the Service, except where refunds are required by applicable law.

4. Use of the Service

Subject to your compliance with these Terms, Bidora grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for lawful purposes.

You agree not to:

• Share or sell access to your account
• Circumvent usage limits or security measures
• Use automated systems to access the Service without authorization
• Use the Service in connection with spam, fraud, or deceptive practices
• Attempt to reverse engineer, copy, or exploit the platform

5. AI-Generated Content

Bidora uses artificial intelligence to generate content based on user input.

You acknowledge and agree that:

• AI-generated outputs are produced automatically
• Outputs may be inaccurate, incomplete, misleading, or inappropriate
• Bidora does not guarantee accuracy or performance outcomes

You are solely responsible for reviewing, editing, and using any content generated through the Service.

6. Third-Party Platforms and Integrations

The Service may be used in connection with third-party platforms (e.g., freelance marketplaces).

Bidora does not control and is not responsible for:

• Third-party policies or rule changes
• Account suspensions or bans
• Loss of business, income, or reputation

Use of generated content is at your own risk.

7. Intellectual Property Rights

All rights, title, and interest in the Service, including software, design, branding, and proprietary systems, are owned by Bidora.

Users retain ownership of their submitted prompts and AI-generated outputs and may use such content for commercial purposes.

Nothing in these Terms grants you any ownership rights in the Service itself.

8. Monitoring, Enforcement, and Abuse Prevention

Bidora reserves the right to monitor usage to:

• Enforce these Terms
• Detect abuse, fraud, or unauthorized access
• Protect platform integrity

If Bidora determines that an account is being misused, shared, or exploited, access may be suspended or terminated immediately without notice or refund.

9. Suspension and Termination

Bidora may suspend or terminate your access to the Service at any time, with or without notice, if:

• These Terms are violated
• Abuse or misuse is detected
• Continued use poses risk to the Service or other users

Upon termination, your right to use the Service will immediately cease.

10. Disclaimers

The Service is provided on an “as is” and “as available” basis.

Bidora disclaims all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement.

11. Limitation of Liability

To the maximum extent permitted by law:

• Bidora shall not be liable for indirect, incidental, special, consequential, or punitive damages
• Bidora’s total liability shall not exceed the amount paid by you to Bidora in the 30 days preceding the claim

12. Indemnification

You agree to indemnify and hold harmless Bidora  from any claims, damages, losses, or liabilities arising from:

• Your use of the Service
• Violation of these Terms
• Use of AI-generated content

13. Modifications to the Service or Terms

Bidora reserves the right to modify, suspend, or discontinue the Service at any time.

These Terms may be updated periodically. Continued use of the Service constitutes acceptance of the revised Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict-of-law principles.

15. Severability

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.
